Mark Donahue is a Director of the Corporate/Business and Real Estate practice groups and a member of the firm's Management Committee. He brings a unique skillset to his practice. Part real estate lawyer, part corporate lawyer, he is essentially a business lawyer, trusted advisor and sounding board on major decisions and judgment calls for his clients. Over the past twenty five years he has been involved in some of the major real estate development initiatives within Worcester County. Attorney Donahue's practice encompasses transactional, corporate and permitting matters including complex business combination transactions, structuring and drafting joint ventures, debt and equity financing and serving as lead entitlement counsel on complicated and multi-level real estate projects. He represents buyers and sellers of businesses and commercial real estate and has extensive experience in drafting agreements among economic parties to accomplish a wide range of goals and objectives.
Mr. Donahue has substantial experience in all facets of real estate loan transactions having represented lenders, borrowers and purchasers in drafting and negotiating loan documents, participation in intercreditor agreements, forbearance and other workout agreements. He also has extensive experience in real estate leasing whether based upon ground lease transactions, single tenancies or multi-tenanted buildings and facilities.
Mark has been with the Firm since 1986 and an active member of the Greater Worcester Community since that time. Prior to joining the firm he practiced in the Greater Boston area. He joined Fletcher Tilton PC to be part of the firm’s sophisticated tax, real estate and M & A Practice.

Mr. Donahue serves as chairman of the Northborough Industrial Development Commission. He also serves on the Board of Directors of the Corridor Nine Chamber of Commerce, where he is the past chairman, and the YMCA of Central Massachusetts.
Mr. Donahue often serves as moderator for programs conducted by the Worcester Bar Association, the Worcester Area Chamber of Commerce, as well as the Corridor Nine Chamber of Commerce. He has been a speaker at the WPI Business Fundamentals Boot Camp, addressing agreements between equity owners. Mr. Donahue is also a member of various professional organizations, including the Worcester Bar Association and the Massachusetts Bar Association.
Significant Representation and Achievements
- Served as lead permitting counsel in developing and implementing the strategy for the reuse of a closed, contaminated industrial site into a 250,000-square-foot, mixed use facility.
- Represented a Fortune 100 retailer in the permitting and construction of stores throughout central Massachusetts.
- Negotiated and obtained all necessary permits for the construction of a 196-unit residential development in Worcester County.
